Hercules Technology Growth, which serves venture capital and private equity-backed companies in the clean technology and life sciences sectors, has filed a prospectus to make a public offering of its common stock.

It plans to offer 5.75 million shares of its common stock and intends to grant the underwriters an option to buy an additional 862,500 to cover any over-allotments.
The Nasdaq-listed firm said it will determine the offering price on the basis of market conditions at the time of pricing, in consultation with underwriters, which will be subject to board approval.
It expects to use the net proceeds from the sale to fund additional growth through potential portfolio acquisitions, as well as for general corporate purposes.
It will also use the capital to fund investments in debt and equity securities, and finance the remaining $12.5m of committed capital under its second SBA licence.
The joint book-runners on the issue include RBC Capital Markets, JMP Securities and Stifel Nicolaus Weisel.
Co-managers on the deal include BB&T Capital Markets, a division of Scott & Stringfellow, Janney Montgomery Scott, and Macquarie Capital USA.
